Virtual Assistance Agreement(Required)
This Virtual Assistance Agreement (“Agreement”) is made between Myself and The Health Coach Group, LLC (“THCG”), hereinafter referred to as “Service Provider,” with respect to the provision of virtual assistance services. 1. Scope of Services THCG agrees to provide virtual assistance services as described in the onboarding form and any additional tasks as mutually agreed upon. Services may include, but are not limited to, administrative support, social media management, content creation, project management, and other business-related tasks. 2. Limitations of Liability The Client acknowledges and agrees that THCG and its team members will perform tasks with due diligence, professionalism, and care. However, THCG shall not be held responsible or liable for any loss, damage, or error arising from: Client-provided Information: Errors, omissions, or inaccuracies in the information, instructions, or materials provided by the Client. Technological Issues: Any technical issues, system failures, or disruptions of third-party platforms, tools, or software used to perform tasks. External Factors: Any delays, failures, or disruptions caused by events outside the reasonable control of THCG, including but not limited to internet outages, power failures, or natural disasters. 3. No Guarantees or Warranties THCG makes no express or implied guarantees or warranties regarding the outcome or results of the services provided. While every effort will be made to ensure accuracy and efficiency, THCG shall not be held liable for any incidental, consequential, or indirect damages arising from the performance of services or the use of any deliverables provided. 4. Indemnification The Client agrees to indemnify, defend, and hold harmless THCG, its affiliates, employees, contractors, and agents from any and all claims, liabilities, losses, damages, or expenses, including reasonable attorney fees, arising from or related to: Any misuse or unauthorized use of deliverables or information provided by THCG. Any third-party claims resulting from the Client’s business operations, marketing strategies, or decisions based on information or support provided by THCG. Any breach of this Agreement by the Client. 5. Confidentiality THCG agrees to maintain the confidentiality of the Client’s proprietary information, trade secrets, and business details. All information shared by the Client will be used solely for the purpose of providing virtual assistance services and will not be disclosed to any third party without the Client’s written consent. 6. Termination Either party may terminate this Agreement with a 30 days’ written notice. Upon termination, THCG will provide a final status report and return any materials or access credentials provided by the Client. 7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of laws principles. 8. Acceptance By engaging the services of THCG and/or completing the onboarding process, the Client agrees to the terms and conditions set forth in this Agreement.
